End-User License Agreement (EULA) of Booth Junkie

This End-User License Agreement (“EULA”) is a legal agreement between you and Booth Junkie Ltd

This EULA agreement governs your acquisition and use of our Booth Junkie software (“Software”) directly from Booth Junkie Ltd or indirectly through a Booth Junkie Ltd authorized reseller or distributor (a “Reseller”).

Please read this EULA agreement carefully before completing the installation process and using the Booth Junkie software. It provides a license to use the Booth Junkie software and contains warranty information and liability disclaimers.

If you register for a free trial of the Booth Junkie software, this EULA agreement will also govern that trial. By clicking “accept” or installing and/or using the Booth Junkie software, you are confirming your acceptance of the Software and agreeing to become bound by the terms of this EULA agreement.

If you are entering into this EULA agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions. If you do not have such authority or if you do not agree with the terms and conditions of this EULA agreement, do not install or use the Software, and you must not accept this EULA agreement.

This EULA agreement shall apply only to the Software supplied by Booth Junkie Ltd herewith regardless of whether other software is referred to or described herein. The terms also apply to any Booth Junkie Ltd updates, supplements, Internet-based services, and support services for the Software, unless other terms accompany those items on delivery. If so, those terms apply.

This EULA, any Addenda or documents referenced within, are the complete statement of the mutual understanding of the Parties and supersedes and cancels all previous written and oral agreements and communications pertaining to the subject matter of this EULA. The EULA may be modified or updated at any time by Booth Junkie Ltd. If any provision of this EULA is found by a court of competent jurisdiction to be invalid or unenforceable, that provision will be limited to the minimum extent necessary so that this EULA will otherwise remain in force and effect.

License Grant

Booth Junkie Ltd hereby grants you a personal, non-transferable, non-assignable, non-exclusive licence to use the Booth Junkie software on your device in accordance with the terms of this EULA agreement.

You are permitted to load the Booth Junkie software onto a single device (for example a PC, laptop, mobile or tablet) under your control. You are responsible for ensuring your device meets the minimum requirements of the Booth Junkie software.

You are not permitted to:

  • Edit, alter, modify, adapt, translate or otherwise change the whole or any part of the Software nor permit the whole or any part of the Software to be combined with or become incorporated in any other software, nor decompile, disassemble or reverse engineer the Software or attempt to do any such things.
  • Reproduce, copy, distribute, resell or otherwise use the Software for any commercial purpose other than what the software was originally designed and intended for.
  • Allow any third party to use the Software on behalf of or for the benefit of any third party
  • Use the Software in any way which breaches any applicable local, national or international law
  • Use the Software in “Trial mode” for any live events or commercial purpose.
  • Transfer ownership of the licence without paying the appropriate transfer fee to Booth Junkie
  • Use the Software for any purpose that Booth Junkie Ltd considers is a breach of this EULA agreement

Licence Keys

The use of the Booth Junkie software for live/commercial/real time events, requires the purchase of a Licence Key for activating the full features of the software.

Any changes made to the device that the key is assigned to, which results in a new Licence Key being generated by the software, may require a new Licence Key to be purchased to accommodate the new changes.

If you transfer ownership of the device that the software is installed on, whether to a new company or by way of sale of the company that the Licence Key is registered to, that Licence Key then becomes void and must not be used. A new licence or a Licence Transfer must then be purchased in the name of the new company and/or individual.

In order to transfer a licence from one entity to another, the original entity must still be legally valid, and hold the same company name that the licence was granted to.
If the legal entity registers a change of name, they must contact us when this takes place, and prior to the sale or transfer of ownership of any equipment containing their licence, so that the licence can be updated.

Any detection of an existing Licence Key being used by a company and/or individual to which this licence was not originally granted, will invalidate the Licence Key.

Should this happen, the original company and/or individual that the licence was originally granted to must purchase either a new Licence Key or purchase a Licence Transfer to reassign to the correct company and/or individual. As a default, this responsibility would fall upon the original licence holder, unless agreed otherwise.

Due to the licence granted being non-transferable and non-assignable, as detailed above, if any machine is found to be advertised for sale, which has an active Booth Junkie licence key assigned to it, this licence key will be revoked.

If you wish to sell or transfer ownership of any equipment which has a Booth Junkie licence assigned to it, you must notify Booth Junkie in writing and purchase a licence transfer prior to advertising the sale of the machine.

Intellectual Property and Ownership

Booth Junkie Ltd shall at all times retain ownership of the Software as originally downloaded by you and all subsequent downloads of the Software by you. The Software (and the copyright, and other intellectual property rights of whatever nature in the Software, including any modifications made thereto) are and shall remain the property of Booth Junkie Ltd.

Booth Junkie Ltd reserves the right to grant licences to use the Software to third parties.

Termination

This EULA agreement is effective from the date you first use the Software and shall continue until terminated. You may terminate it at any time upon written notice to Booth Junkie Ltd, and allow Booth Junkie Ltd to access to the device in order to ensure full removal of any Licence Keys which may exist on that device.

It will also terminate immediately if you fail to comply with any term of this EULA agreement. Upon such termination, the licenses granted by this EULA agreement will immediately terminate and you agree to stop all access and use of the Software. The provisions that by their nature continue and survive will survive any termination of this EULA agreement.
If any continued use is recorded after this event, you agree to pay to Booth Junkie Ltd the immediate sum of a new Licence Key at the then current price.

Governing Law

This EULA agreement, and any dispute arising out of or in connection with this EULA agreement, shall be governed by and construed in accordance with the laws of United Kingdom.
